9. Cancellation. Irrespective of any default hereunder, the Agency <br /> may also at any time in its discretion terminate the Attorney' s employment <br /> hereunder and cancel -the contract, in whole or in part, and in such event the <br /> Attorney shall be entitled tb receive compensation as specified herein for all <br /> work completed and accepted prior to such termination or cancellation, and in <br /> addition an equitable adjustment shall be made, as compensation for any <br /> substantial amount of work or services performed by the Attorney to the date <br /> of such termination or cancellation, but not accepted by the Agency. <br /> 10 Assignment of Attorml. The Attorney's obligations and duties <br /> under this contract shall not be assigned in whole or in part, but this shall <br /> not prohibit the assignment of the proceeds due hereunder to a bank or <br /> financial institution. This contract may be assigned by the Agency to any <br /> corporation, agency or instrumentality authorized to accept such assignment. <br /> 11. Equal Employment Opportunity. During the performance of this <br /> contract, the Attorney agrees as follows: <br /> (a) The Attorney will not discriminate against any employee <br /> or applicant for employment because of race, color, <br /> religion, sex, or national origin. The Attorney will <br /> take affirmative action to ensure that applicants are- <br /> employed, and that employees are treated during <br /> employment, without regard to their race, color, <br /> religion, sex, or national origin. Such action shall <br /> include, but not be limited to the following: <br /> employment, upgrading, demotion, or transfer, <br /> recruitment or recruitment advertising; layoff or <br /> termination; rates of pay or other forms of <br /> compensation; and selection for training, including <br /> apprenticeship. The Attorney agrees to post in <br /> conspicuous places, available to employees and <br /> applicants for employment, notices to be provided <br /> by the Agency setting forth provisions of this <br /> • nondiscrimination clause. <br /> (b). The Attorney will , in all solicitations or advertisements _ <br /> for employees placed by or on behalf of the Attorney, <br /> state that all qualified applicants will receive <br /> consideration for employment without regard to race, creed, <br /> color, sex, or national origin. <br /> 12. Officials not to Benefit. No member of or Delegate to the Congress <br /> or Resident Commissioner of the United States of America shall be admitted to <br /> any share or part of this Contract or to any benefit to arise therefrom. <br /> 13. Interest b Members of A•enc . No member, officer or employee of <br /> the Agency curing his tenure of office or for one year thereafter shall have <br /> any interest, direct or indirect, in this contract or the proceeds thereof. <br /> - 5 - <br />
