- 2 - 065 New England Cable Limited Partnership 41. 75% Wometco Cable Investors Limited Partnership 14 . 5% TVN Media, Ltd. 41. 75% David Bonderman is the sole general partner of Wometco Cable Investors Limited Partnership. Robert Bass and David Bonderman together own in excess of 50% of the partnership interests and other limited partners are affiliates of Mr. Bass. It is contemplated that at some time subsequent to this transaction there will be a transfer of TFBA Sub, Ltd. ' s interest in BT Cable to Wometco Cable Investors Limited Partnership. Inasmuch as Robert Bass and affiliates are the owners of each of these entities and DB Management, Inc. or David Bonderman is the sole general partner of each of them, the subsequent transfer of the 50% voting interest in BT Cable will not involve a transfer requiring prior regulatory approval. The parties to this application will notify the appropriate regulatory authorities at the time the transfer occurs. DB Management is the sole general partner of New England Cable Limited Partnership and has a 1% interest in the partnership. The limited partners which collectively own the remaining 99% interest include Robert Bass and David Bonderman, who together own in excess of 50% of the partnership. Other limited partners are affiliated with Mr. Bass in various businesses. Mr. Bass and persons and entities associated with him own, through an investment partnership, in excess of 80% of the partnership interests in TVN Media, Ltd. One of the general partners of TVN Media Ltd. is DB Management, Inc. Attached is a diagram on which the previously described structure is depicted. In sum, TFBA Sub, Ltd. which will own 50% of the voting stock of BT Cable, Inc. , is controlled by Robert M. Bass through a structure which places legal control of several limited partnerships in David Bonderman, an associate of Mr. Bass.
