U6q <br /> This application proposes the transfer of 50% of <br /> the voting stock of BT Cable, Inc. from Taft Cable <br /> Company to TFBA Sub, Ltd. BT Cable, Inc. is the parent <br /> of the Wometco cable group. TFBA Sub, Ltd. is <br /> controlled by Robert M. Bass, a private investor from <br /> Fort Worth, Texas, and persons associated with him. <br /> Mr. Bass already controls the other 50% of BT Cable' s <br /> voting stock. This application, therefore, involves the <br /> acquisition of positive control by a party which already <br /> has negative control. There will be no change made in <br /> the management or operation of any of the Wometco <br /> systems. All managerial and supervisory personnel will <br /> remain in their present positions discharging their <br /> present responsibilities. No changes are contemplated <br /> in the systems as a consequence of the transaction. <br /> TFBA Sub, Ltd. is a Texas limited partnership <br /> owned and controlled by Robert M. Bass, an individual <br /> investor residing in Fort Worth, Texas, and individuals . <br /> and entities associated with him. The sole general <br /> partner of TFBA Sub, Ltd. is DB Management, Inc. , a <br /> Texas corporation, the sole principal officer, director <br /> and shareholder of which is David Bonderman. <br /> Mr. Bonderman is, among other things, Vice <br /> President-Investments of Robert M. Bass Group, Inc. , <br /> Mr. Bass 's principal investment entity. <br /> The transfer of Taft Cable Company' s interest in <br /> BT Cable, . Inc. will follow the acquisition of Taft Cable <br /> Company' s ultimate parent, Taft Broadcasting Company, by <br /> a subsidiary of American Financial Corporation. <br /> Immediately after that acquisition is accomplished the <br /> new owners of Taft are to cause Taft Cable Company to <br /> transfer the BT stock to TFBA Sub, Ltd. The <br /> consideration to be paid by TFBA Sub, Ltd. for the stock <br /> and other assets being acquired by it is $200 million. <br /> DB Management, Inc. , the sole general partner of <br /> TFBA Sub, Ltd. , has a 1% ownership interest in the <br /> transferee entity. The principal owners of the entity <br /> are three limited partnerships, each of which is owned <br /> by Robert M. Bass and persons and entities associated <br /> with him. These limited partnerships, each of which is <br /> organized under Texas law, and their respective <br /> ownership interests in TFBA Sub, Ltd. * are: <br /> *An American Financial subsidiary holds a one percent <br /> limited partnership interest which may be redeemed by <br /> the Bass interests at any time. <br />
