A <br /> RESOLUTION OF THE ORANGE COUNTY BOARD OF COMMISSIONERS <br /> APPROVING A TRANSFER OF <br /> ..a:. PRIME VENTURE'S CABLE TELEVISION FRANCHISE <br /> TO <br /> PRIME CABLE INCOME PARTNERS L.P. <br /> WHEREAS, the Board of Commissioners of Orange County by an <br /> ordinance effective February 24, 1981, granted to Village Cable <br /> of Orange County, Inc. ("Village Cable") a franchise to operate <br /> a cable television system in Orange County; and <br /> WHEREAS, the Board of Commissioners by Resolution of July <br /> 7, 1986 approved transfer of the Village Cable franchise to <br /> Prime Venture I, Inc. , ("Prime Venture") , a Delaware corporation <br /> and managing general partner of Prime Cable Income Partners L.P. <br /> ("Prime L.P. ") , a Delaware limited partnership; and <br /> WHEREAS, Prime Venture has requested permission from the <br /> Board of Commissioners to transfer its rights under the <br /> franchise to Prime L.P. ; and <br /> WHEREAS, Prime L.P. agrees to accept the terms and <br /> obligations of the franchise as transferred; <br /> NOW, THEREFORE, BE IT RESOLVED by the Orange County Board <br /> of Commissioners that: <br /> 1. Upon signed acceptance of this Resolution by Prime <br /> L.P. , all rights and obligations of Prime Venture in the cable <br /> television franchise ordinance and franchise cited above are <br /> transferred to Prime L.P. <br /> 2 . All other provisions of the franchise ordinance and <br /> franchise shall remain in effect. <br /> Approved by the Orange County Board of Commissioners at <br /> regular meeting of the Board held on the 24th day of <br /> March , 1987 . <br /> L <br /> Shi .
