AMMEM <br /> 0 26 <br /> RESOLUTION OF THE ORANGE COUNTY BOARD OF COMMISSIONERS <br /> APPROVING TRANSFER OF <br /> PRIME VENTURE 'S CABLE TELEVISION FRANCHISE <br /> TO <br /> PRIME CABLE INCOME PARTNERS L.P. <br /> WHEREAS, the Board of Commissioners of Orange County <br /> by an ordinance effective February 24 , 1981, granted to <br /> Village Cable of Orange County, Inc. ("Village Cable") a <br /> franchise to operate a cable television system in Orange <br /> County; and <br /> WHEREAS, the Board of Commissioners by Resolution of <br /> July 7 , 1986 approved transfer of the Village Cable <br /> franchise to Prime Venture I, Inc. , ("Prime Venture") , a <br /> Delaware corporation and managing general partner of Prime <br /> Cable Income Partners L.P. ( "Prime L.P. ") , a Delaware <br /> limited partnership; and <br /> WHEREAS, Prime Venture has requested permission from <br /> the Board of Commissioners to transfer its rights under <br /> the franchise to Prime L.P. ; and <br /> WHEREAS , Prime L.P. agrees to accept the terms and <br /> obligations of the franchise as transferred; <br /> NOW, THEREFORE, BE IT RESOLVED by the Orange County <br /> Board of Commissioners that: <br /> 1 . Upon signed acceptance of this Resolution by <br /> Prime L.P. , all rights and obligations of Prime Venture in <br /> the cable television franchise ordinance and franchise <br /> cited above are transferred to Prime L.P. <br /> 2 . All other provisions of the franchise ordinance <br /> and franchise shall remain in effect. <br /> Approved by the Orange County Board of Commissioners <br /> at regular meeting of the Board held on the day of <br /> , 1987. <br />
