Contract , the OWNER shall thereupon have the right to terminate <br /> this Contract by giving written notice to the ENGINEERS of such <br /> termination and specifying the effective date thereof. In such <br /> event , all finished or unfinished documents , data , studies , and <br /> reports prepared by the ENGINEERS under this Agreement shall <br /> become the OWNER ' S property . The payment to the ENGINEERS will <br /> be negotiated based on the amount of satisfactory work completed <br /> at the time of termination . <br /> ARTICLE IX - ASSIGNMENT OF AGREEMENT <br /> Neither the ENGINEERS nor the OWNER shall transfer or assign <br /> this Agreement to any third party or parties without the written <br /> permission of the other . <br /> ARTICLE X - APPLICABLE LAW <br /> This Agreement , including , but not by way of limiting the <br /> interpretation thereof and the rights and remedies of the parties <br /> thereunder , shall be governed by the laws of the State of North <br /> Carolina . <br /> Except as this Agreement otherwise provides , all claims , <br /> counterclaims , disputes and other matters in question between the <br /> OWNER and the ENGINEERS arising out of , or relating to this <br /> Contract or the breach of it , will be decided by resort to the <br /> court of competent jurisdiction within the State of North <br /> Carolina unless the parties hereto mutually agree to submit any <br /> such dispute for resolution by Arbitration . <br /> In the event of any legal controversy requiring the services <br /> of the ENGINEERS in providing expert testimony in connection with <br /> Page 10 of 11 <br />
