(e) There is no action, suit, proceeding or inves- <br /> tigation at law or in equity or before or by any court , <br /> public board or body pending or, to the knowledge of the <br /> Authority, threatened against or affecting the Authority, or <br /> to the best of the knowledge of the Authority any basis <br /> therefor, wherein an unfavorable decision, ruling or finding <br /> would adversely affect any of the transactions contemplated <br /> by this Agreement, or which, in any way, would adversely <br /> affect the validity of the Bond Documents, or any other <br /> agreement or instrument to which the Authority is a party and <br /> which is used or contemplated for use in consummation of the <br /> transactions contemplated hereby. <br /> (f) The execution and delivery of the Bond Documents to <br /> which it is a party and the other agreements and instruments <br /> contemplated hereby and in compliance with the provisions <br /> hereof and the endorsement and pledge of the Note as <br /> aforesaid will not conflict with, or constitute on the part <br /> of the Authority a breach of, or a default under, any <br /> existing law, administrative regulation, decree, court order <br /> or any provision of any legislative act, constitutional or <br /> other proceeding applicable to or establishing or relating to <br /> the establishment of the Authority or its affairs or <br /> resolutions, or any agreement, indenture, mortgage, lease or <br /> other instrument to which the Authority is subject or by <br /> which it is or may be bound. <br /> (g) All action on the part of the Authority necessary <br /> for the making and performance of the Bond Documents to which <br /> it is a party and the other transactions on the part of the <br /> - Authority contemplated hereby or thereby has been duly and <br /> effectively taken. All consents, authorizations and <br /> approvals of, or filings or registrations with, all <br /> governmental or regulatory bodies required of the Authority <br /> for the making and performance of the Bond Documents to which <br /> it is a party and the transactions contemplated hereby and <br /> thereby, have been duly and effectively taken. <br /> (h) All requirements and conditions specified in the <br /> Enabling Act, the by-laws or other organic documents of the <br /> Authority and all other laws and regulations applicable to <br /> the adoption of the Bond Resolution, the execution and <br /> delivery of the Bond Documents to which it is a party and the <br /> execution, delivery and issuance of the Bond have been <br /> fulfilled. <br /> ( i) The Authority shall take all action and do all <br /> things which it is authorized by law to take and do in order <br /> to perform and observe all covenants and agreements on its <br /> part to be performed and observed under the Bond Documents to <br /> 4. <br /> me <br />
