ARTICLE XI <br /> MISCELLANEOUS <br /> Section 11. 1 . References to the Bond Ineffective After <br /> Bond Paid. Upon Payment of the Bond, all references in this <br /> Agreement to the Bond shall be ineffective and the Authority <br /> and the Holder shall not thereafter have any rights <br /> hereunder excepting those that shall have theretofore <br /> vested; provided, that the rights of the Authority and any <br /> Holder or former Holder to receive certain additional <br /> payments upon the occurrence of a Determination of <br /> Taxability shall survive Payment of the Bond. <br /> Section 11 . 2. No Implied Waiver. In the event any <br /> agreement contained in the Note or in this Agreement should <br /> be breached by either party and thereafter waived by the <br /> other party, such waiver shall be limited to the particular <br /> breach so waived and shall not be deemed to waive any other <br /> breach thereunder or hereunder. <br /> Section 11. 3 . Authority Representative. Whenever <br /> under the provisions of this Agreement the approval of the <br /> Authority is required or the Authority is required to take <br /> some action at the request of the Company, such approval <br /> shall be made or such action shall be taken by the Authority <br /> Representative; and the Company and the Holder shall be <br /> authorized to rely on any such approval or action. <br /> Section 11. 4. Company Representative. Whenever under <br /> the provisions of this Agreement the approval of the Company <br /> is required or the Company is required to take some action <br /> at the request of the Authority, such approval shall be made <br /> or such action shall be taken by the Company Representative; <br /> and the Authority and the Holder shall be authorized to rely <br /> on any such approval or action. <br /> Section 11.5. Notices. All notices, certificates or <br /> other communications hereunder shall be sufficiently given <br /> and shall be deemed given when delivered by hand delivery or <br /> on the third day following the day on which the same has <br /> been mailed by registered or certified mail, return receipt <br /> requested, postage prepaid, addressed as follows: if to the <br /> Authority, at The Orange County Industrial Facilities and <br /> Pollution Control Financing Authority, 110 North Churton <br /> Street, Hillsborough, North Carolina 27278, Attention: <br /> County Attorney; if to the Company, to Isotechnologies, <br /> Inc. , P.O.
