, " STATE OF NORTH CAROLINA AGREEMENT FOR <br /> ", COUNTY OF ORANGE CONSULTANT SERVICES <br /> This Agreement, made and entered into by and between the Town of <br /> Chapel Hill, herein "Town" and Orange County <br /> • <br /> herein, "Consultant" for services as hereinafter described within the Town <br /> of Chapel Hill. <br /> WITNESSETH <br /> That for and in consideration of the mutual promises and conditions <br /> set forth below, the Town and Consultant agree: <br /> A. Duties of Consultant: The Consultant agrees to perform those <br /> duties described in Exhibit A attached hereto and incorporated <br /> herein by reference. <br /> B. Duties of Town: The Town shall pay for the Consultant's services <br /> as set forth herein. <br /> C. Fee Schedule and Maximum Sum: Payment shall be made according <br /> to the Fee Schedule and subject to the maximum sum set forth <br /> in Exhibit A attached hereto and incorporated herein by reference. <br /> D. Billing and Payment: The Consultant shall submit a bill upon <br /> completion of all work performed under the terms of this Agree- <br /> ment. The Consultant shall bill and the Town shall pay at the rates <br /> set forth herein. Payment will be made by the Town within thirty <br /> (30) days of receipt of an accurate invoice, approved by the Town <br /> Manager or his designee. <br /> E. Amendment: This agreement may be amended in writing by mutual <br /> agreement of the Town and Consultant. <br /> F. Term: This Agreement, unless amended as provided herein, <br /> shall be in effect from 5/20/86 to 12/30/86 <br /> G.
