134 <br /> 3. Orange County agrees that the EMS communat <br /> icors whose <br /> services are provided. pursuant to this Agreement shall have at <br /> least two years of Emergency Medical Service Communication <br /> ' experience, or its equivalent. <br /> 4. Both Orange County and The Hospital understand and agree <br /> that The Hospital will have administrative and professional <br /> supervision of such EMS communicators while thay are rendering <br /> services to The Hospital under this Agreement. Professional <br /> activities and services rendered pursuant to this Agreement shall <br /> be in compliance with policies and protocols developed and agreed <br /> upon by designated representatives of The Hospital and Orange <br /> County. <br /> 5. Both Orange County and The Hospital agree and understand <br /> that if at any time The Hospital determines that an EMS <br /> communicator's performance or professional interactions are <br /> inadequate or inappropriate, The Hospital may request removal of <br /> the EMS communicator. The Hospital shall provide sufficient <br /> documentation to Orange County detailing the reasons for the <br /> Hospital's request for replacement. Such documentation shall be <br /> in a form that is in compliance with the Orange County Personnel <br /> Ordinance regarding disciplinary action. <br /> 6. The Hospital agrees to provide a training experience for <br /> the five full-time EMS communicators relevant to duties specific <br /> to their functions with The Hospital's air ambulance program. <br /> 7. Both Orange County and The Hospital understand and agree <br /> that Orange County may designate an in-Hospital liason <br /> accountable to Orange County Office of Emergency Medical Services <br /> for EMS communicator personnel functions such as discipline, <br /> scheduling, holidays, sick leave. <br /> 8. In return for the services of EMS communicators, as <br /> identified herein, The Hospital agrees to reimburse Orange County <br /> for the cost of salaries and fringe benefits of five full-time <br /> EMS communicators, including time during the training period <br /> referenced in paragraph 6 above. "Fringe benefits," as used <br /> herein, shall include Orange County's contributions to the local <br /> government employee's retirement system, health insurance, life <br /> insurance/accidental death and dismemberment and workers' <br /> compensation for the EMS communicators covered by this Agreement. <br /> At its option, The Hospital shall either reimburse Orange County <br /> for the cost of or provide coverage for professional liability <br /> insurance for the EMS communicators whose services are provided <br /> pursuant to this Agreement. Pursuant to these agreements, The <br /> Hospital shall reimburse Orange County at the rate of $10,000 per <br /> month, subject to such modification of this monthly amount as is <br /> necessary following specific agreement between the parties of the <br /> actual cost of salaries and fringe benefits. <br />
