4. BothlOrange County and The Hospital understand and agree <br /> that The Hospital will have administrative and professional <br /> supervision of such paramedics while thay are rendering services <br /> to The Hospital under this Agreement. Professional activities <br /> and services rendered pursuant to this Agreement shall be in <br /> compliance with policies and protocols developed and agreed upon <br /> by designated representatives of The Hospital and Orange County. <br /> 5. Both Orange County and The Hospital agree and understand <br /> that if at any time The Hospital determines that a paramedic's <br /> performance or professional interactions are inadequate or <br /> inappropriate for flight duty, The Hospital may request <br /> replacement of the paramedic with one of the designated <br /> alternates. Such replacement shall be effected within 30 days of <br /> notification by The Hospital. The Hospital shall provide <br /> sufficient documentation to Orange County detailing the reasons <br /> for the Hospital's request for replacement. Such documentation <br /> shall be in a form that is in compliance with the Orange County <br /> Personnel Ordinance regarding disciplinary action. <br /> 6. The Hospital agrees to provide a training experience for <br /> the five full-time paramedics and two alternates, in conjunction <br /> with the training of The Hospital's flight nurses. The Hospital <br /> further agrees that, to the extent feasible, flight teams shall <br /> consist of both a nurse and a paramedic. <br /> 7 . Both Orange County and The Hospital understand and agree <br /> that Orange County may designate an in-Hospital liason <br /> accountable to Orange County Office of Emergency Medical Services <br /> for paramedic personnel functions such as discipline, scheduling, <br /> holidays, sick leave. <br /> 8. In return for the services of paramedics, as identified <br /> herein, The Hospital agrees to reimburse Orange County for the <br /> cost of salaries and fringe benefits of five full-time <br /> paramedics. The Hospital further agrees to reimburse Orange <br /> County for the cost of salaries and fringe benefits of five <br /> paramedics and two alternates during the training period <br /> referenced in paragraph 6 above. "Fringe benefits," as used <br /> herein, shall , include Orange County's contributions to the local <br /> government employee's retirement system, health insurance, life <br /> insurance/accidental death and dismemberment and workers' <br /> compensation for the paramedics covered by this Agreement. At its <br /> option, The Hospital shall either reimburse Orange County for the <br /> cost of or provide coverage for professional liability insurance <br /> for the paramedics whose services are provided pursuant to this <br /> Agreement. Pursuant to these agreements, The Hospital shall <br /> reimburse Orange County at the rate of $10,000 per month, subject <br /> to such modification of this monthly amount as is necessary <br /> following specific agreement between the parties of the actual <br /> cost of salaries and fringe benefits. <br />
