• - . <br /> 054 <br /> Basic notes, sketches, charts, and other data prepared or obtained <br /> under thiS Contract shall become the property of the Client without <br /> restriction or limitation on their use. No material produced in whole <br /> or in part' under this Contract shall be subject to copyright in the <br /> United Sthtes or in any other country. The Client, Consultant, and <br /> NCDOT shall have unrestricted authority to publish, disclose, distri- <br /> bute and otherwise use, in whole or in part, any reports, data, or <br /> other materials prepared under this Contract. The Client and NCDOT <br /> shall retain ownership of all plans, specifications and related docu- <br /> ments. <br /> B. Delays and Extensions <br /> Reasonable extensions of the time schedule defined in Section IV shall <br /> be mutually arrived at by the Consultant and the Client in the event of• <br /> unavoidable delays considered beyond the control of the Consultant.. <br /> Final determination will lie with the Client in determining if an <br /> extension is justifiable. <br /> • C. Responsibility for Claims and Liability <br /> The Consultant shall assume all risk in connection with the performance <br /> of this Contract and shall be liable for and save harmless the Client <br /> and State of North Carolina on account of any damages to persons or <br /> • property resulting from the negligence of the Consultant in connection <br /> with the completion of the work covered by this Contract. <br /> D. General Co!mpliance with Laws <br /> The Consultant is assumed to be familiar with, and at all times shall <br /> observe anld comply with, all Federal, State and local laws, ordinances <br /> and regulations in any manner affecting the conduct of the work. <br /> E. Subletting, Assignment or Transfer <br /> Subletting, assignment or transfer of all or part of the interest of <br /> either party to this Contract is prohibited unless by written consent <br /> of the other party and the approval of the NCDOT. <br /> F. Covenant Against Contingent Fees <br /> The Consultant warrants that he has not employed or retained any com- <br /> pany or person other than a bona fide employee working solely for the <br /> Consultant to solicit or secure this Contract, and that he has not paid <br /> or agreed to pay any company or person other than a bona fide employee <br /> working solely for the Consultant any fee, commission, percentage, <br />
