Information-Reports <br /> • <br /> The Consultant shall provide all information and reports required by <br /> the Regulations or directives issued pursuant thereto, and shall permit <br /> access to its books, records, accounts, other sources of information, <br /> and its facilities as may be determined by the Client and NCDOT .to be <br /> pertinent to ascertain compliance with such Regulations, orders, and <br /> instructions. Where any information is required and is in the exclu- <br /> sive possession of another who fails or refuses to furnish this infor- <br /> mation, the Consultant shall so certify to the Client, as appropriate, <br /> and shall set forth the efforts it has made to obtain this <br /> information. <br /> E. Sanctions far Noncompliance <br /> • In the event of the Consultant's noncompliance with the nondiscrimina- <br /> tion provisions of this Contract, the Client, and NCDOT. shall impose <br /> - <br /> such contract sanctions as it determines to be appropriate, including, <br /> but not Um' ited to: <br /> • <br /> 1. Withholding of payments to the Consultant under the Contract until <br /> the Consultant complies; and/or <br /> 2. Cancellation, termination, or suspension of the Contract in whole <br /> or in part. <br /> F. Incorporation of Provisions <br /> The Consultant shall include the provisions of paragraphs A through <br /> F in every subcontract, including procurements of materials and <br /> leases of 'equipment, unless exempt by the Regulations or directives <br /> issued pursuant thereto. The Consultant shall take such action with <br /> respect to I any subcontract or procurement as the Client or NCDOT may <br /> direct as means of enforcing such provisions including sanctions for <br /> noncompliance; provided, however, that in the event the Consultant <br /> becomes involved in, or is threatened with, litigation with a <br /> subcontractor or supplier as a result of such direction, the Consultant <br /> may request the Client and NCDOT to enter into such litigation to, <br /> protect the interests of the Client and NCDOT and, in addition, the <br /> Consultant l may request the State of North Carolina to protect the <br /> interest of the 'State if there are any. <br /> G.
