•••J <br /> ,)* ' • <br /> 051 <br /> effective date of such termination, the Consultant shall be <br /> reimbursed (in addition to the foregoing payment) for that <br /> portion of the actual out-of-pocket expenses (not otherwise <br /> reimbursed under this Contract) incurred by the Consultant during <br /> the I Contract period, which are directly attributable to the <br /> uncompleted portion of the services covered by this Contract. <br /> SECTION VII. AUDIT AND INSPECTION OF RECORDS <br /> The Consultant shall permit the authorized representatives of the Client <br /> and NCDOT to inspect and audit all data and records of the Consultant <br /> 1 <br /> relating to his performance under the Contract until the expiration of <br /> three (3) year after final 'payment under this Contract. <br /> I <br /> The Consultant further agrees to include in all his Subcontracts hereunder <br /> a provision to the effect that the Subcontractor agrees that the Client and <br /> NCDOT or any of their duly authorized representatives shall, until the. <br /> expiration of three (3) years after final payment under the Subcontract, <br /> have access to and the right to examine any directly pertinent books, <br /> documents, papers, and records of such Subcontractor, involving transac- <br /> tions related tO the Subcontractor. The term "Subcontract" as used in this <br /> clause excludes (1) purchase orders not exceeding $10,000 and (2) Subcon- <br /> tracts or purchase orders for public utility services at rates established <br /> for uniform applicability to the general public. <br /> The periods of access and examination described above, for records that re- <br /> late to (1) appeals under the "Disputes" clause of this Contract, (2) liti- <br /> gation of the settlement of claims arising out of the performance of this <br /> Contract, or (3) costs and expenses of this Contract as to which exception <br /> has been taken by the Comptroller General or any of his duly authorized <br /> representatives!, shall continue until such appeals, litigation, claims, or <br /> exceptions have been disposed of. <br /> The Client, NCDOT, or their duly authorized representative, shall have <br /> access to and the right to inspect all project materials. <br /> SECTION VIII. EQUAL EMPLOYMENT OPPORTUNITY <br /> • <br /> In connection with the execution of this Contract, the Consultant shall not <br /> discriminate against any employee or applicant for employment because of <br /> race, religion, color, sex, or national origin.
