O3:i <br /> . - <br /> NORTH CAROLINA <br /> ORANGE COUNTY <br /> THIS CONTRAcT, made and entered into this 2nd day of <br /> December ;19 85 , pursuant to a resolution heretofore adopted by the Board <br /> of Commissioners4 Orange County North Carolina, by and between Infocel, Inc. <br /> a corporation with its principal office and place of business in Raleigh, N. C. r <br /> party of the first part, hereinafter called the Company, the County of <br /> a body politic hereinafter called the County. <br /> WITNESSETH <br /> WHEREAS, the County of Orange duly advertised for bids for a Computer <br /> System and Peripherals and bids were received and duly opened as required ' <br /> by law; and <br /> WHEREAS, after a careful consideration of the bid submitted by the <br /> Company, the Board of Commissioners of Orange County has heretofore adopted <br /> a resolution authorizing the- acceptance of such bid, and the execution <br /> in the name of die County of Orange of a contract with the said Company <br /> covering the installation of the computer system. <br /> NOW, THEREFORE, in consideration of the premises and in further consideration <br /> of the mutual agrleement contained herein, as well as the financial consideration <br /> hereinafter refe ed to, the parties hereto have contracted and agreed as follows; <br /> (1) I accordance with the County's specifications and Company's proposal, <br /> :7 <br /> - copies of which specifications and proposal are attached hereto and made a part <br /> hereof, Company will furnish and install the computer system more particularly <br /> described in the proposal submitted by the Company or in the specifications <br /> attached herIrto. <br /> (2) Thle total purchase for said equipment/materials in the sum of seventy <br /> six thousandl nine hundred seventy four ($76,974) to be paid to Company by County <br /> in cash within 30 days after installation of the computer system and its acceptance <br /> by the County. <br /> (3) The specifications, the proposal thereon by Company the advertisement <br /> by County, and the Performance Bond on the part of the Company, copies of which <br /> are attahced hereto and made a part hereof shall constitute the contract between <br /> the parties as though fully written herein. <br />
