<br /> THIS gAsEmENr(the"Agreement")is made this 28th of June,2016,by and between
<br /> HELEN MACE and CARL MACE(collectively,"Grantor"),having an address of 916 Mice Road,
<br /> Mebane,NC 27302,and OAKWOOD SOLAR FARM,LLC,a North Carolina limited liability
<br /> company("Grantee"),with a mailing address of Oskwood Solar Fenn,LLC,4155 St Johns Parkway,
<br /> Suite 1100,S FL 32771.
<br /> WHEREAS,Grantor owns property located in Mebane,IP ie County,North
<br /> Carolina("Grantor's Properly"),and Pin 9835029137 and Pin 9835103858;and
<br /> WHEREAS,Grantor and Grantee have entered into Lease Agreement dated December 30,
<br /> 2015("Lease Agreement")whereby the Grantee is leasing certain property for the installation and
<br /> operation of a photovoltaic solar facility;and
<br /> WHEREAS,Grantee desires to obtain ,.easement on Grantor's Property for the
<br /> purposes contained herd;
<br /> NOW THEREFORE,fir good and valuable consideration,the receipt and sufficiency of
<br /> which are hereby acknowledged,the parties agree as follows:
<br /> 1.4,g I Grantor grants and conveys to Grantee and its lessees,licensees,repreeentatives,
<br /> agents,and invitees,the non-mcclusive right of - egress and regress for vehicular and
<br /> pedestrian traffic,Including construction vehicles,on,over,across,and under a portion of Grantor's
<br /> Property("Easement Area"),together with the exclusive right to install,replace
<br /> and maintain utility wires,poles,cables,conduits and pipes thereon and therein,as such
<br /> Easement Arealeads from US Highway 70 across Grantor's Property to where Grantee has lease
<br /> rights on the Grantor's Property under the Lease Agreement for the installation and operation of a
<br /> solar facility on the parcel with PIN 9835029137.The Easement Area is the Access Easement shown
<br /> on attached hereto and made apart hereof The Easement Area may be used twenty-four
<br /> (14)honra a day,seven(7)days a week.
<br /> 2. Tom.The term of this Agreement shall commence as of the date of this
<br /> ent and may be terminated only as provided for herein.
<br /> 3. r.onsideration.Upon execution of this Agreement Grantee shall pay Grantor
<br /> One and 00/100 Dollars($1.00).
<br /> 4. -,.. .±t. This Agreement shall nm concurrent with the Lease Agreement and will terminate
<br /> when the Lease Agreement terminates. Grantee shall have one hundred eighty(180)days from
<br /> termination to remove all of its personal property from the Easement Area and leave the Easement
<br /> Area in a clean and orderly fashion.
<br /> 5. of Obshuction4.Grantee has the right to reasonably remove obstructions from
<br /> the Easement Area,including but not limited to vegetation,which may encroach upon,interfere
<br /> with or present a hazard to Grantee's use of the Easement Area Grantee shall dispose of any
<br /> materials removed.
<br /> 6. t v Grantee or Grantor shall have the right to record this Agreement with the
<br /> appropriate recording officer
<br /> 7. vt The Grantee shall indemnify and defend the Grantor against,and hold
<br /> the Grantor harmless from,any claim of liability or loss,including reasonable attorney foes,from
<br /> materiahnan's liens,personal injury or property damage arising from the use and occupancy of
<br /> the Easement Area by the Grantee,its employee;contractors,servants or , ts.
