DocuSign Envelope ID:3B343F2B-F3EC-4D90-A7F9-1C4402CBA567 <br /> DocuSign Envelope ID:DBI}158A0-1139-48CD-8576-549C07AE1795 <br /> [Departmental Use Only] <br /> TITLE Starpoint Global Svcs <br /> FY FY 2015-16 <br /> NORTH CAROLINA <br /> SERVICES AGREEMENT UNDER$90,000.00 <br /> NO RFP/RFQ <br /> ORANGE COUNTY <br /> This Services Agreement (hereinafter "Agreement"), made and entered into this 1st day of <br /> February, 2016, ("Effective Date") by and between Orange County, North Carolina a political <br /> subdivision of the State of North Carolina (hereinafter, the "County") and StarPoint Global <br /> Services, (hereinafter,the "Provider"). <br /> WITNESSETH: <br /> That the County and Provider, for the consideration herein named, do hereby agree as <br /> follows: <br /> 1. Services <br /> a. Scope of Work. <br /> i) This Agreement is for services to be rendered by Provider to County with respect to <br /> (insert type of project): Imaging Patient Records and Other Services as provided in <br /> Estimated Cost and Service Proposal Provided by StarPoint Global Services for the <br /> Orange County Health Department, dated January 19, 2016 ("Proposal"), attached <br /> as Exhibit A, Additional Terms and Conditions, Exhibit B; Business Associate <br /> Agreement, Exhibit C; Storage Agreement, Exhibit D; Container Transmittal, <br /> Exhibit E; and Authority for Access, Exhibit F; all of which are hereby incorporated <br /> into this Agreement and shall be taken and considered as a part of this Agreement <br /> the same as if fully set out herein. In the event of any conflict or inconsistency <br /> between this Agreement and the Exhibits, this Agreement shall control except where <br /> there is a conflict or inconsistency between this Agreement and the Business <br /> Associate Agreement, then the provisions of the Business Associate Agreement <br /> shall control. <br /> ii) By executing this Agreement, the Provider represents and agrees that Provider is <br /> qualified to perform and fully capable of performing and providing the services <br /> required or necessary under this Agreement in a fully competent, professional and <br /> timely manner. <br /> iii) Time is of the essence with respect to this Agreement. <br /> iv) The services to be performed under this Agreement consist of Basic Services, as <br /> described and designated in Section 3 hereof.
