1a <br />Members will serve until the conclusion of the Task Force's service to the Town Council, <br />estimated as until April 2008. <br />Members shall notify a staff liaison if they are not able to attend a meeting. If there are <br />three consecutive unexcused absences of any member, this will be considered notice of <br />intent to resign. The Task Force shall notify the Town Council of such resignation. <br />Any member may resign at any time by delivering written notice of such resignation to <br />the Town Clerk. The Town Clerk shall notify the Town Council of such resignation and <br />request a replacement appointment. <br />A member may be removed by a recommendation to the Chapel Hill Town Council and a <br />vote of the Council to remove the member. <br />111. OFFICERS <br />The officers of the Task Force shall include a Chair and Vice-Chair. <br />Each officer of the Commission shall serve for the term of the Task Force's existence <br />(anticipated to be April 2008). <br />The Chair shall preside at all Task Force meetings. No pronouncements made by the <br />Chair as spokesperson or representative of the Task Force shall obligate or commit the <br />Task Force except as provided by these rules of procedure and as specifically authorized <br />by the Commission. <br />The Vice-Chair shall act in the absence of the chair in the conduct of meetings. <br />Staff shall keep records and meeting summaries and see that all notices are duly given as <br />specified in these rules of procedure and required by law. <br />IV. MEETINGS OF THE TASK FORCE <br />All meetings and business of the Task Force shall comply with all requirements of the <br />North Carolina Open Meetings Law. Notice of a meeting shall be provided at least 48 <br />hours in advance to each member and to the press. <br />Regular meetings of the Task Force shall be held according to a schedule approved by the <br />Task Force, and held in a location that is a public place of business. <br />Upon the call of the Chair, or by vote of the Task Force, the Task Force may hold special <br />meetings with at least 48 hour written notice before such meeting to each member and the <br />press. All notices shall be in compliance with North Carolina law. <br />A Quorum shall be a minimum of 51 % of members (not counting vacant seats). A <br />Quorum shall be necessary in order to hold a meeting of the Task Force and transact <br />business. <br />Members may speak when recognized by the Chair. The Chair shall ensure all Task <br />Force members have an opportunity to speak who wish before recognizing any member <br />to speak a second time.
