By executing this Agreement <br /> Provider affirms that Provider is and shall.remain in compliance with Article 2 of Chapter 64 of the North <br /> Carolina General Statutes. By signing this Agreement, Providers certifies that the), have not been <br /> identified nor utilized the services of any subcontractor on the list created by the State Treasurer <br /> pursuant to G.S. 147-86.58. <br /> 10. Dispute Resolution: Any and all suits or actions to enforce, interpret, or seek damages with <br /> respect to any provision of, or the performance or non-performance of, this Agreement shall be brought in <br /> the General Court of Justice of North Carolina sitting in Orange County, North Carolina. It is agreed by the <br /> parties that no other court shall have jurisdiction or venue with respect to such suits or actions, Binding <br /> arbitration may not be initiated by either Party, however, the Parties may agree to nonbinding mediation of <br /> any dispute prior to the bringing of such suit or action. <br /> It. Non Appropriation: Provider acknowledges that County is a governmental entity, and the <br /> validity of this Agreement is based upon the availability of public funding under the authority of its statutory <br /> mandate. In the event that public funds are unavailable and not appropriated for the performance of County's <br /> obligations under this Agreement, then this Agreement shall automatically expire without penalty to County <br /> immediately upon written notice t,o Provider of the unavailability and non-appropriation of public funds. <br /> 12. Reproduction of Presei-itation/Materials: County agrees to prevent,to the best of ability, the <br /> photographing, filming, broadcasting,recording,or reproduction by radio,television, intemet, or any other <br /> device of the presentation or materials defined hereinabove or any portion or portions thereof without <br /> previous coordination and written permission from Provider.All materials that are originally created for this <br /> contract are the legal, copyrighted property of Provider and cannot be used at any other time outside of the <br /> contracted service dates as specified above without previous coordination and written permission from <br /> Provider. <br /> 13. Publicity and Promotion: County grants to Provider the authority to use the County's name <br /> and contact information for publicity and promotional purposes related to this agreement. These promotions <br /> may include and are not limited to newspapers, brochures, newsletters, magazines, Recreation literature, <br /> broadcasts, and all other publicity and advertising media (including the Internet) providing that such <br /> publicity and promotion does not in itself constitute an endorsement by County of a commercial service or <br /> product. Additionally, any digital images/pictures acquired during the training may be mutually used by both <br /> the Provider and County for future marketing. County agrees to credit Provider if they use these images as <br /> "photos courtesy of WWw,lCadingt._QqL1 ,coat". County also agrees to allow Provider to sell.
