DocuSign Envelope ID:3A2943C2-EE76-446E-9116-3566395E1533 <br /> • <br /> The ArtsCenter <br /> ' . • Always Inspiring. <br /> • • <br /> TAC or any part thereof relating to the use of TAC by, or negligence or willful misconduct <br /> of, TAC, or any of their employees,servants,contractors,representatives or agents. <br /> 17.The Artist shall indemnify,protect, defend and hold harmless TAC from and against all <br /> losses, damages,liabilities,costs and expenses (including reasonable attorneys'fees) <br /> incurred by TAC, and any claims of any third person or entity for damages, losses or <br /> injuries, arising out of(a)any accident, injury or damage to any person or property <br /> occurring In, on or about TAC if caused by the by the negligence or willful misconduct of <br /> the Artist or its employees, servants, contractors, representatives or agents or(b)any <br /> negligent or willful act or omission of the Artist or its employees, servants, contractors, <br /> representatives or agents. - <br /> 18.Neither party shall be liable to the other party for any special, incidental, indirect or <br /> consequential damages or loss of revenues of either party or any third-party,whether <br /> foreseeable or not,arising from or related to this agreement, or from any other cause <br /> whatsoever, and regardless of whether prior notice of the possibility of such damages <br /> has been given or received. <br /> 19.TAC agrees to provide the Artist with a finalized schedule and itinerary with contact <br /> information for each site at least 2 weeks before the residency begins. <br /> 20.The Artist acknowledges that any guest artist receiving over$600 will receive a 1099 at <br /> the end of the calendar year. If the Artist is from any state other than North Carolina and <br /> receives over$1500,a mandatory state tax of 4%will be taken out unless <br /> documentation of tax exemption is provided, <br /> 21.Listed below are any additional agreements that were made between the contracted <br /> parties.
