30 <br /> EXHIBIT A — Definitions <br /> For all purposes of this Contract, unless the context requires otherwise, the follow- <br /> ing terms have the following meanings: <br /> "Additional Payments" means any amounts payable by the County as a result of <br /> its obligations under this Contract or the Deed of Trust (other than its obligation to pay <br /> Installment Payments), and any of the Lender's expenses (including attorneys' fees) in <br /> prosecuting or defending any action or proceeding in connection with this Contract and <br /> any taxes or any other expenses, including, but not limited to, the Lender's administrative <br /> or legal costs, licenses, permits, state and local sales and use or ownership taxes or prop- <br /> erty taxes that the Lender is required to pay as a result of this Contract (together with in- <br /> terest that may accrue on any of the above if the County fails to pay the same, as set forth <br /> in this Contract). <br /> "Amount Advanced" has the meaning assigned in Article I. <br /> "Closing Date" means the date on which this Contract is first executed and deliv- <br /> ered by the parties, which is expected to be on or about May , 2016. <br /> "Code" means the Internal Revenue Code of 1986, as amended, including regula- <br /> tions, rulings and revenue procedures promulgated thereunder or under the Internal Rev- <br /> enue Code of 1954, as amended, as applicable to the County's obligations under this Con- <br /> tract. Reference to any specific Code provision will be deemed to include any successor <br /> provisions thereto. <br /> "Construction Agreement" means any agreement between the County and any <br /> other person or entity related to any part of the construction of the Pledged Facilities, in- <br /> cluding contracts for site preparation and related work. <br /> "Contract Payments" means Installment Payments and Additional Payments. <br /> "County Board" means the County's Board of Commissioners as from time to time <br /> constituted. <br /> "County Representative" means the County Manager, County finance officer or <br /> any other person or persons at the time designated, by a written certificate furnished to <br /> the Lender and signed on the County's behalf by the County Manager or the Chairman of <br /> the County Board, to act on the County's behalf for the purpose of performing any act (or <br /> any specified act) under this Contract. <br /> 23 <br />
