DocuSign Envelope ID: 1CCA18DC-6CC1-428C-A15D-5173EE24B471 <br /> KEY PROJECT ASSUMPTIONS <br /> ❑ Tyler shall initially implement the most current version of the Tyler software at the time of the contract <br /> signing.During the implementation Tyler will provide newer releases of the software that meet or exceed <br /> the version available at contract signing,in coordination with project schedule and status.After Go-Live, <br /> the customer is responsible for installing newer releases. Release notes are provided for all new versions. <br /> As of the Effective Date, system upgrades typically take approximately four(4)service hours when <br /> performed by a Tyler customer of industry standard IT capabilities. Tyler currently provides 3 to 4 <br /> releases per calendar year to customers under a current maintenance agreement with Tyler,with the early <br /> adopter release generally predating the general availability release by 1-2 months.Tyler does not <br /> subscribe to the Beta/RC/Gold release schedule. <br /> ❑ Customer will maintain primary responsibility for the scheduling of customer employees and facilities in <br /> support of project activities. <br /> ❑ Customer will provide/purchase/acquire the appropriate hardware, software and infrastructure assets <br /> to support all purchased Tyler software products in both support/testing and production environments. <br /> Standard environments include production,testing and training. <br /> ❑ Customer is responsible for proper site preparation,hardware, software and network configuration <br /> in accordance with Tyler specifications. <br /> ❑ Customer has,or will provide,access Licenses and documentation of existing system to which Tyler <br /> will read,write or exchange data. <br /> ❑ Customer has,or will provide,a development/testing environment for import and interface testing as <br /> they are developed by Tyler. <br /> ❑ Tyler will provide Customer with a weekly status reports that outline the tasks completed and other project- <br /> level information,and that are generated from Tyler's PSA system.Those reports are sent from the Tyler <br /> Project Manager directly to the customer Project Manager.Tyler will also provide details regarding the <br /> upcoming tasks that need to be completed during the coming weeks,the resources needed(from customer)to <br /> complete the tasks,a current or updated version of the project plan, and a listing of any issues that may be <br /> placing the project at risk(e.g.,issues that may delay the project or jeopardize one or more of the production <br /> dates)as needed.Tyler will initiate Project Manager meetings,which will typically be held once per week, <br /> although that frequency may increase if the project is particularly busy.Go-To-Meeting calls are used if there <br /> is a need to present an item on a monitor to be reviewed by all participants. This becomes more frequent when <br /> the teams are reviewing documentation or software configurations for sign-off. <br /> ❑ Tyler personnel shall attend executive project review committee meetings(internal)as needed. In Tyler's <br /> experience,executive project review committee meetings typically occur on a quarterly basis. <br /> ❑ Out of scope deliverables will only be provided via a change order that is mutually agreed to. Change orders <br /> shall be addressed over the course of the project,if and when the need arises. <br /> l <br /> 42 <br />
