3a <br />By-Laws of <br />The Durham Farmers' Market <br />Article I <br />Purpose and Goals <br />Section1. Purpose and Powers. Reasons for forming the Durham Farmers' Market and the <br />powers it exercises are set forth in the organization's Articles of Incorporation. _ <br />Section2, Goals. The Durham Farmers' Market was founded to promote direct marketing of <br />farm products and handcrafted goods from producers to consumers. The goal of the <br />Corporation is to operate a farmers' market in downtown Durham to provide 1) a direct retail <br />outlet for the region's farmers and craftspeople, thereby promoting local agriculture by <br />supporting local farmers and craftspeople and 2) an alternative outlet for consumers to buy high <br />quality fresh products at reasonable prices in an atmosphere conducive to exchange of <br />information and ideas between producers and consumers. <br />Article II <br />Membership and Dues <br />Section 1. Corporation Membership The farm/business of anyone actively engaged in the <br />production of farm products or handcrafted goods for direct sale (i.e. the original producer of all <br />products sold) that meets the qualifications for membership in the Corporation as stated in <br />Article I1, Sections 5 and 6 and the requirements set forth below, may become a Market <br />Member. The required steps are 1) application, 2) acceptance by the Board of Directors, and 3) <br />payment of annual dues. <br />Section 2. Market Members. A Market Member is a farm or business that produces farm and/or <br />handcrafted goods. A Market Member includes any person or group of people cooperatively <br />producing farm products and/or handcrafted items under one farm/business name. A Market <br />Member must pay dues, may vote, and will be allowed use of a vendor space at the Market. <br />Only Market Members are eligible to sell at the Market. Market Members must abide by <br />Corporation rules, regulations, and by-laws, including Market Rules. A copy of Market Rules will <br />be given to each Market Member before the start of each season. Definitions of farm products <br />and crafts which may be sold at the Market are determined by the Board of Directors and are <br />included in Market Rules. <br />A. A Market Member is eligible to reserve a vendor's space for the upcoming season <br />based on the seniority system stated in the Market Rules. The Board of Directors <br />will determine procedures for reservations. <br />B. Each Market Member is allotted one vote on Corporation issues brought before the <br />membership. <br />C. At least one person representing each Market Member must attend the spring <br />Annual Membership Meeting each year. <br />D. Market Members agree to allow their farms/facilities to be inspected by a committee <br />designated by the Board of Directors whenever deemed necessary. <br />Section 3. Annual Dues. Annual dues will be set by the Board of Directors and will be <br />proposed to Market Member representatives at the spring Annual Membership Meeting each <br />
