Orange County Animal Services Center may dissolve this Contract with a 30-day <br /> written notice,if dissatisfied with the quality of service provided by Mechanical Solutions, <br /> Inc. Orange County Animal Services Center agrees to make written complaint first,of any <br /> dissatisfaction,and to allow 24-hours for response,from Mechanical Solutions,Inc., before <br /> requesting termination of the Contract. <br /> III. Mechanical Solutions,Inc.agrees to provide and maintain General Liability <br /> Insurance of$1,000,000.00 throughout the term of this Contract. <br /> IV. Mechanical Solutions,Inc.,and Orange County Animal Services Center may agree to <br /> extra services,work,or supplies,outside the scope of this Contract. Any such additions will <br /> be set out and agreed upon in writing by both Mechanical Solutions,Inc.,and Orange <br /> County Animal Services Center. <br /> V. If either Mechanical Solutions,Inc.,or Orange County Animal Services Center <br /> should fail to meet the terms of the Contract as they are described herein,the breaching <br /> party shall pay and discharge all costs,attorneys'fees,and expenses that shall arise from <br /> enforcing the covenants of this Contract. <br /> VI. No modification of this Contract will be effective, unless it is in writing,and is signed <br /> by both parties. This Contract requires a 30-day written notice for termination by either <br /> party. This Contract binds and benefits both parties and any successors. Time is of the <br /> essence of this Contract. This document including any attachments is the entire <br /> Contract between the parties.
