DocuSign Envelope ID:8B670D51-A7FD-4694-8E94-963553021305 <br /> TERMS, CONDITIONS AND OTHER PROVISIONS <br /> MANAGEMENT & PROFESSIONAL LIABILITY POLICY <br /> CONDITIONS <br /> Severability Of Application <br /> In providing coverage under this Policy, the "insurance organization" has relied upon the statements <br /> and representations included in the "application" and all such statements and representations are <br /> material to the acceptance of risk. The "insureds" represent that all such statements and representations <br /> are true. This Policy is issued in reliance upon the "application." <br /> If any such statements and representations are untrue, this Policy shall not afford any coverage with <br /> respect to any of the following"insureds": <br /> a. Any"insured person"who knew the facts that were not truthfully disclosed in the "application"; <br /> b. Under the Reimbursement Coverage in the Management Liability Coverage, the "insured <br /> organization" to the extent that it indemnifies an "insured person" referenced in paragraph a. above; <br /> c. The "insured organization," if the Chairman of the Board, Chief Executive Officer, President, Chief <br /> Financial Officer, General Counsel, Risk Manager, Human Resource Manager, or any equivalent <br /> position knew the facts that were not truthfully disclosed in the "application"; or <br /> d. The "insured plan," under the Fiduciary Liability Coverage, if the Chairman of the Board, Chief <br /> Executive Officer, President, Chief Financial Officer, General Counsel, Risk Manager, Human <br /> Resource Manager, or any equivalent position knew the facts that were not truthfully disclosed in the <br /> "application," <br /> whether such "insured person" knew of any untruthful statements or misrepresentations in the <br /> "application." <br /> Severability Of Exclusions <br /> No fact pertaining to or knowledge possessed by any "insured person" shall be imputed to any other <br /> "insured person" for purposes of applying all exclusions made part of this Policy. Only facts pertaining <br /> to or knowledge possessed by the Chairman of the Board, Chief Executive Officer, President, Chief <br /> Financial Officer, General Counsel, Risk Manager, Human Resource Manager, or any equivalent <br /> position, shall be imputed to the "insured organization" or "insured plan" for purposes of applying any <br /> exclusion made part of this Policy. <br /> Territory <br /> Coverage under this Policy applies in all parts of the world. <br /> MPL 0002 07 13 CUMIS Insurance Society, Inc.
