DocuSign Envelope ID:8B670D51-A7FD-4694-8E94-963553021305 <br /> TERMS, CONDITIONS AND OTHER PROVISIONS <br /> MANAGEMENT & PROFESSIONAL LIABILITY POLICY <br /> DEFINITIONS <br /> Interrelated Wrongful Acts <br /> "Interrelated wrongful acts" means all "wrongful acts" that have a common fact, circumstance, <br /> situation, event, transaction, cause or series of related facts, circumstances, situations, events, <br /> transactions or causes. <br /> Leased Employee <br /> "Leased employee" means any natural person, other than an "employee," "director or officer," <br /> "volunteer" or "independent contractor," who is leased to the "insured organization" to perform work <br /> and for whom the "insured organization" directs or guides the work performed;provided that any: <br /> a. Coverage afforded under this Policy for such "leased employee" only applies to the extent that the <br /> "insured organization" agrees to indemnify such "leased employee"; and <br /> b. Such coverage shall be specifically excess of any other indemnity and insurance otherwise available <br /> to the "leased employee" from or provided by the entity that such "leased employee"is leased. <br /> Loss <br /> "Loss" means "defense costs" and the following amounts that the "insureds" are legally obligated to pay <br /> as the result of a"claim": <br /> a. Damages awarded in judgments; <br /> b. Amounts paid in settlements entered into with the consent of the "insurance organization"; <br /> c. Punitive or exemplary damages, to the extent insurable under applicable law; <br /> d. The multiple portion of a damage award; <br /> e. Prejudgment interest; <br /> f. Post-judgment interest; <br /> g. Solely with respect to a "wrongful employment practices liability act," liquidated damage awards <br /> pursuant to the Age Discrimination in Employment Act (ADEA) (29 U.S.C. §§621-634) or the <br /> Equal Pay Act of 1963 (209 U.S.C. § 206(d)),including any amendments thereto; <br /> h. Solely with respect to a"wrongful employment practices liability act," front pay or back pay; or <br /> i. Solely with respect to a "wrongful fiduciary liability act," civil money penalties imposed on an <br /> "insured" for violation of the privacy provisions of the Health Insurance Portability and <br /> Accountability Act (HIPAA) (42 USC) (Pub. L. 104-191). Provided, however, the "insurance <br /> organization's" maximum limit of liability for the "policy period" shall be $100,000 and no <br /> deductible shall apply for any such civil money penalties. <br /> MPL 0002 07 13 CUMIS Insurance Society, Inc.
