DocuSign Envelope ID:8B670D51-A7FD-4694-8E94-963553021305 <br /> TERMS, CONDITIONS AND OTHER PROVISIONS <br /> MANAGEMENT & PROFESSIONAL LIABILITY POLICY <br /> DEFINITIONS <br /> Insured Organization <br /> "Insured organization" means any entity shown in Item 1. on the Declarations and its "subsidiaries." <br /> Insured Persons <br /> "Insured persons" means: <br /> a. A "director or officer"; <br /> b. "Volunteer"; and <br /> c. Only to the extent coverage is granted for the Additional Insureds as shown in Item 6. (A) on the <br /> Declarations, "employees," "leased employees" and"independent contractors." <br /> Insured Plan <br /> "Insured plan" means any: <br /> a. Employee benefit plan, as defined by the Employee Retirement Income Security Act of 1974 <br /> (ERISA) (29 U.S.C.A. §1 et seq.), as amended that is operated solely by the "insured organization," <br /> or jointly by the "insured organization" and a labor organization, starting before the "policy period," <br /> for the benefit of the "employees," "directors or officers," "leased employees" or "volunteers" of <br /> the "insured organization"; <br /> b. Other employee benefit plan, or group insurance program, including a Health Savings Account <br /> (HSA) program, not subject to Title I of the Employee Retirement Income Security Act of 1974 <br /> (ERISA) (29 U.S.C.A. §1 et seq.), as amended, sponsored solely by the "insured organization" for <br /> the benefit of the "employees," "directors or officers," "leased employees" or "volunteers" of the <br /> "insured organization," or in the case of a HSA, those offered by the "insured organization,"if such <br /> plan existed prior to the "policy period"; <br /> c. Other employee benefit plan if listed as an "insured plan"in an endorsement to this Policy; <br /> d. Government-mandated benefit program for workers' compensation, unemployment, social security <br /> or disability benefits for "employees," "directors or officers," "leased employees" or "volunteers"; <br /> or <br /> e. 457 (b) or 457 (1) plan. <br /> Unless otherwise listed as an "insured plan" in an endorsement to this Policy, "insured plan" does not <br /> include a multi-employer plan, as defined by the Employee Retirement Income Security Act of 1974 <br /> (ERISA) (29 U.S.C.A. §1 et seq.), as amended or an employee stock ownership plan. <br /> MPL 0002 07 13 CUMIS Insurance Society, Inc.
