c <br /> the Bond for and on behalf of the Authority in substantially <br /> such form with such changes therein, additions thereto, and <br /> omissions therefrom as those executing the 3ond shall approve, <br /> their execution and delivery thereof constituting tl�e conclusive <br /> approval of the Authority of any changes therein, additions <br /> thereto, and omissions therefrom. <br /> Section 7. The Bond shall be issued pI_Irsu2M t to <br /> the Bond Purchase Agreement, dated as of January 1, 1960 (the <br /> "Bond Purchase Agreement") , between the Authority a3id the <br /> Company, in the form of that which has been presented to <br /> the Board at this meeting, the terms and conditions on which <br /> the Purchaser has agreed to puxchase the Band, as sat forth <br /> therein, are hereby approved and accepted and the Authority <br /> hereby confirms its agreement to sell the Bond to the Purchaser <br /> at the purchase price,of $2,000,000 and otherwise upon the terms and conditions set forth in the Bond Purchase Agreement, <br /> and the Chairman or the Vice Chairman and the Secretary or <br /> any Assistant Secretary of the Authority are hereby author- <br /> ized to execute and deliver the Bond Purchase Agreement, in <br /> any number of signed counterparts, for and on behalf of the <br /> Authority in substantially such form with such charges therein, <br /> additions thereto, and omissions therefrom as those executing <br /> the Bond Purchase Agreement shall approve, their execution <br /> and delivery thereof constituting the conclusive approval of <br /> the Authority of any changes therein or additions thereto or <br /> omissions therefrom, and the same are hereby further author- <br /> ized to deliver the Bond to the Purchaser upon evidence sat- <br /> isfactory to counsel for the Authority of payment therefor. <br /> Section 6. The Authority hereby determines to elect <br /> to have the Bond qualify for the exemption under the provi:oions <br /> of paragraph (A) of subsection 1013(b) (6) of the Internal Revenue <br /> Code of 1954. as amended, afforded by subparagraph (>D) thereof, <br /> and authorizes the Chairman or the Vice Chair-man of the Authority <br /> to make such election on behalf of the Authority by suhmitting <br /> a statement to such effect. <br /> Section 9. The officers of the Authority are hereby <br /> authorized and directed to execute and deliver such certificates <br /> and statements as may be required by the Bond Purchase Agree- <br /> ment, the Loan Agreement, the Assignment, the Deed of Trust <br /> and the Security Agreement and or as otherwise required in <br /> connection with the issuance of the Bond. Such officers are <br /> further authorized and directed to sign and cause to be tiled <br /> such financing statements and to cause to be recorded such <br /> instruments as counsel to the Authority shall deem neonnsary <br /> or advisable in connection with the issuance of the Bond. <br /> Such officers shall be entitled to rely on the advice of counsel <br /> to the Authority in deciding to take or not to take any action <br /> in connection with the issuance of the Bond. <br /> 4 <br /> M <br /> s <br /> �f <br /> ;a. <br /> a <br />
