EXHIBIT 1 <br />17 <br />damages, disruption and loss caused by acts of God, war, strike, riot, labor dispute, work stoppage, fire, <br />judicial or governmental action, or any other cause. <br />11.6 Waiver <br />The waiver or failure of either party to exercise any right in any respect provided for herein shall <br />not be deemed a waiver of any further right hereunder. <br />11.7 Severability <br />If any provision of this Agreement is determined to be invalid under any applicable statute or rule <br />of law, it is to that extent to be deemed omitted, and the balance of the Agreement shall remain <br />enforceable. <br />11.8 Taxes <br />In the event that a city, state, or federal government agency other levies taxes on the work <br />specific to the project or projects outlined in this agreement, Client will bear the responsibility of paying <br />the taxes either directly, or indirectly through invoices marked up for tax inclusion. <br />11.9 Survival <br />All provisions of this Agreement relating to warranties, confidentiality, non - disclosure, proprietary <br />rights, limitation of liability, indemnification obligations and payment obligations shall survive the <br />termination or expiration of this Agreement. <br />Page 19 <br />
