DocuSign Envelope ID: 32E08BD7-D7A9-4E3B-9E4A-7202C5E86675 <br />d.Waiver.ThepaymentofanysumsbytheCountyunderthisAgreementorthefailureof <br />theCountytorequirecompliancebytheProviderwithanyprovisionsofthisAgreement <br />orthewaiverbytheCountyofanybreachofthisAgreementshallnotconstitutea <br />waiverofanyclaimfordamagesbytheCountyforanybreachofthisAgreementora <br />waiverofanyotherrequiredcompliancewiththisAgreement. <br />1.AdditionalProvisions <br />a.LimitationandAssignment.TheCountyandtheProvidereachbindthemselves,their <br />successors,assignsandlegalrepresentativestothetermsofthisAgreement.Neitherthe <br />CountynortheProvidershallassignortransferitsinterestinthisAgreementwithoutthe <br />writtenconsentoftheother. <br />b.GoverningLaw.ThisAgreementandtheduties,responsibilities,obligationsandrights <br />ofrespectivepartieshereundershallbegovernedbythelawsoftheStateofNorth <br />Carolina. <br />c.CompliancewithLaws.Providershallatalltimesremainincompliancewithall <br />applicablelocal,state,andfederallaws,rules,andregulationsincludingbutnotlimited <br />toallanti-discriminationlaws. <br />d.DisputeResolution.Anyandallsuitsoractionstoenforce,interpretorseekdamages <br />withrespecttoanyprovisionof,ortheperformanceornon-performanceof,this <br />AgreementshallbebroughtintheGeneralCourtofJusticeofNorthCarolinasittingin <br />OrangeCounty,NorthCarolina.Itisagreedbythepartiesthatnoothercourtshallhave <br />jurisdictionorvenuewithrespecttosuchsuitsoractions.Bindingarbitrationmaynot <br />beinitiatedbyeitherParty,however,thePartiesmayagreetononbindingmediationof <br />anydisputepriortothebringingofsuchsuitoraction. <br />e.EntireAgreement.ThisAgreementrepresentstheentireandintegratedagreement <br />betweentheCountyandtheProviderandsupersedesallpriornegotiations, <br />representationsoragreements,eitherwrittenororal.ThisAgreementmaybeamended <br />onlybywritteninstrumentsignedbybothparties.Modificationsmaybeevidencedby <br />facsimilesignatures. <br />f.Severability.IfanyprovIsIonofthisAgreementisheldasamatteroflawtobe <br />unenforceable,theremainderofthisAgreementshallbevalidandbindinguponthe <br />Parties. <br />g.OwnershipofWorkProduct.ShouldProvider'sperformanceofthisAgreementgenerate <br />documents,itemsorthingsthatarespecifictothisProjectsuchdocuments,itemsor <br />thingsshallbecomethepropertyoftheCountyandmaybeusedonanyotherproject <br />withoutadditionalcompensationtotheProvider.Theuseofthedocuments,itemsor <br />thingsbytheCountyorbyanypersonorentityforanypurposeotherthantheProjectas <br />setforthinthisAgreementshallbeatthefullriskoftheCounty. <br />h.Non-Appropriation.ProvideracknowledgesthatCountyisagovernmentalentity,and <br />thevalidityofthisAgreementisbasedupontheavailabilityofpublicfi.mdingunderthe <br />authorityofitsstatutorymandate. <br />10114 <br />5 <br /> <br />
