Page 5 <br />SERVICE AGREEMENT <br />JIM., <br />(i) The Contractor will be responsible for all County losses under <br />the U.S.D.A. regulations for replacements for any quarter as <br />long as the administration abides by the following conditions: <br />1. All issuances for $300 or over shall be sent to the <br />recipient by certified, first-class mail or is given <br />to the client by over-the-counter issuance. <br />2. Following a replacement, future issuances will be <br />sent by certified, first-class mail or the client will <br />report to the agency for over-the-counter issuance. <br />3. The agency will report the list of monthly replace- <br />ments to the Contractor to be matched against the re- <br />turned mail. <br />4. TI.-le. Postal cost of certified mailings will be report- <br />ed with the cost of postage. <br />5. One mail day will be selected by the County to repre- <br />sent all cases to be sent by certified, first-class <br />mail. Another mail day will be used to identify all <br />cases to be sent to the agency for over-the-counter <br />issuance. (The computer has ten mail days to be used <br />for regular and special handling of issuances.) <br />V11. AUTHORITY OF COUNTY/CITY: The official executing this agreement <br />covenants that he or she has authority to execute this agreement on behalf of <br />the County/City of Orange , and approves the proposal submitted <br />by the Contractor for the services to be rendered as set forth in Section 11 <br />of this agreement. <br />VIII: INDEPENDENT CONTRACTOR: Conformity with The Laws <br />(a) For all purposes of this agreement, the Contractor shall be <br />deemed an independent Contractor, and neither the Contractor <br />nor its agents or employees are or shall be deemed to be agents <br />or employees of the County/City or of the State of N. C. <br />and the Contractor shall hold and save harmless the County/City <br />and the State of N.C. from the claims of third <br />parties arising out of any act or omission of the Contractor, <br />its agents or employees, in performance of this agreement. <br />(b) The Contractor shall pay all taxes, assessments, premiums <br />and fees and shall file all reports and returns required by <br />law and arising out of its operations under this agreement. <br />(c) The Contractor shall perform its obligations under this agree- <br />ment in conformity with all applicable laws and regulations, <br />Federal, State, or local. <br />
