COST SHARING AGREEMENT FOR THE IMPLEMENTATION OF A <br /> COMPREHENSIVE MASS NOTIFICATION SYSTEM <br /> AArl <br /> THIS AGREEMENT is made and entered into this the A day of 61�_, 2014, <br /> between Orange County ("County"), the Orange Water and Sewer Authority ("OWASA"), the <br /> Town of Carrboro ("Carrboro"), and the Town of Chapel Hill ("Chapel Hill") ( together <br /> collectively identified as "the Parties"). <br /> WITNESSETH <br /> Whereas, in order to better serve the citizens, employees, residents, customers, visitors, <br /> and the public at large, the Parties have each determined that there is a need to establish a <br /> method of providing both emergency and non-emergency mass notification emergency alert and <br /> warning services to large numbers of persons simultaneously; and . <br /> Whereas, following a review and consideration of currently available technology to <br /> provide this type of mass notification alert and warning capability, the Parties have determined to <br /> enter into this Agreement for the purpose of providing such capability, and to appoint the County <br /> as the lead agency to contract for the technology and services needed by the Parties. <br /> NOW, THEREFORE, in consideration of the above recited promises, the Parties agree as <br /> follows: <br /> 1. The initial term of the agreement shall be for two years beginning October 1, 2014 <br /> and ending September 30, 2016. The term may be renewed automatically for <br /> additional one year terms unless terminated in accordance with this Agreement. <br /> 2. The Parties have designated the County as the lead agency, and it shall, on behalf of <br /> the Parties to this Agreement, negotiate and enter into an agreement with Everbridge, <br /> Inc. ("Everbridge"), a corporation which provides a mass notification suite, which <br /> include mass notification, weather, social media, and mobile member applications. <br /> The agreement with Everbridge shall be substantially in accordance with the terms <br /> described in the attached proposal (Exhibit A). <br />
