as <br />Exhibit C -Form of School Board resolution <br />Resolution authorizing conveyance of property to <br />Orange County to facilitate a capital proiect <br />WHEREAS: <br />The Chapel Hill-Carrboro City Schools Board of Education (the "School <br />Board") has previously determined to cooperate with Orange County, North <br />Carolina (the "County"), to undertake capital projects for the schools operated by <br />the School Board. <br />To carry out the agreed-upon plan of cooperation, the County and the School <br />Board have entered into an Interlocal Agreement dated as of January 19, 2006, <br />providing for the conveyance of property to the County, followed by the leasing of <br />the property back to the School Board. The Interlocal Agreement also provides for <br />the School Board to undertake the capital projects on the County's behalf, and for <br />the eventual re-conveyance of the property to the School Board. <br />BE IT TI~EREFORE RESOLVED by The Chapel Bill-Carrboro City <br />Schools Board of Education, as follows: <br />1. The School Board requests that the County acquire the following <br />property for the purposes contemplated by the Interlocal Agreement: Parcel # <br />9777583576 W/S Smith Level Road 13.57 acres and Parcel # 9777493386 W/S <br />Smith Level Road P93/163 49.412 acres <br />2. The. Project to be carried out with respect to the transferred property <br />may be briefly described as follows: Construction of Carrboro High School, a <br />162,000 square foot 9-12 school building. <br />3. The Board, under the authority of Section 153A-158.1 of the General <br />Statutes, authorizes the conveyance of the Board's interest in such property to the <br />County for the purposes described in the Interlocal Agreement, without further <br />consideration. The Board's Chair is authorized and directed to execute and deliver <br />an appropriate deed or deeds (the "Deed") to carry out such conveyance. The Deed <br />will be in such form as the Chair may approve. The description of the property <br />conveyed in the Deed shall be such as the Board's Chair may approve in <br />consultation with the Board's attorney. <br />94432v1 1C <br />
