3 <br /> Method of personnel appointment . <br /> At the November 3 meeting, the Group agreed that the new <br /> organization should have the power to hire and fire its executive <br /> director. All other personnel would be hired by the executive <br /> director and subject to the personnel policies of the organization <br /> that contracted to administer the personnel system. <br /> Number of delegates from member governments and decision makinq <br /> In past discussions, the Reorganization Group has made the <br /> assumption that each government would have one vote on the- new <br /> board, decisions would require a simple majority vote of the board <br /> and that board members would be elected officials appointed by the <br /> member governing bodies. The Group may wish to revisit these <br /> assumptions and further consider the number of delegates from each <br /> unit. If there--are an even number of delegates/votes, a tie- <br /> breaking methodology may need to be considered. Additionally, <br /> rather than having equal representation on the board, <br /> representation could be based on any or a combination of the <br /> following: population, waste generation, portion of financial <br /> contribution/financing methodology, location of facilities, <br /> administrative responsibilities or any other identified criteria. <br /> Present and future ownership of real property <br /> In forming the new organization, the member governments could grant <br /> the power to own property and land to the new entity or ownership <br /> could continue to be held jointly by the member governments. With <br /> joint ownership, the approval of all member governing boards would <br /> be required to purchase or sell property. <br /> The assets- of the current joint-agreement (primarily land, <br /> including the Greene tract, a working landfill, and equipment) <br /> could be brought into any new entity through the creating <br /> agreement. An interlocal agreement could specify how current <br /> assets are owned versus assets acquired under the new organization. <br /> Likewise, if so empowered, the new organization could take <br /> possession of current assets, but specify that upon dissolution <br /> that these assets would be transferred back to the members. <br /> Alternatively, the organization could purchase the assets from the <br /> member governments. <br /> Method of amending or terminating new organization <br /> A likely method of amending or terminating the new organizational <br /> charter/agreement would be approval of each member's governing <br /> board. The agreement could specify that a member may leave the <br /> organization given timely notice, a prescribe method of dealing <br /> with shared debt and other financial obligations, an agreement <br /> regarding delivery of wastes and other conditions agreed to by all <br /> the initial members. <br /> Landfill Administration <br /> Solid waste management has become a more technical and more <br /> regulated field than it used to be. Therefore, much of the daily <br /> operation is mandated by state and federal regulations, with little <br /> policy discretion.
