(ESRI) <br /> CONTRACT NO. 92P1291 <br /> Amendment No. 1 is hereby incorporated by reference and made an integral part of Master <br /> Purchase Agreement No. 92P1291. The Agreement, as amended,is hereby renewed for the <br /> period through June 15, 1997. <br /> This Amendment No. 1 is comprised of two (2) parts. The first part amends and updates the basic <br /> Agreement Articles(ESRI No.92P1291, dated 6/23/92). The second part amends and updates <br /> pricing,terminology, and procedures in the Attachments to the Agreement. <br /> Part 1—Basic Agreement Amendments <br /> Article 3—Extension and Modification <br /> Add the following sentence at the end of the first paragraph: <br /> "Supplementary pricing may be incorporated for new software or reduced prices by <br /> formal notice by ESRI." <br /> Article 4—Termination; Cancellation, Section 4.2 <br /> Replace Section 4.2 with the following: <br /> "Purchase Orders, other than for the initial purchase,may be terminated by the County <br /> in whole or in part, upon forty-five(45) days'written notice to ESRI. There will be no <br /> cancellation charge for terminated Software purchases unless the Software has been <br /> delivered. In this case the cancellation will require County payment of return shipping <br /> costs. The County has the right to terminate hardware purchases forty-five(45) days prior <br /> to scheduled delivery without cost. After hardware delivery or within forty-five (45)days <br /> of scheduled delivery,termination of the hardware purchase is subject to a manufacturer <br /> cancellation charge not to exceed 35 percent(35%)of hardware list price." <br /> Article 6—Orders, Section 6.1 <br /> Replace this section with the following: <br /> "Written Purchase Orders will be provided to ESRI or your ESRI Marketing Representative <br /> based on the fees specified in the Attachments. Normally the Purchase Order will be processed <br /> directly to ESRI,but for ArcCADO,ArcView®for Windows/Macintosh, or PC ARC/INFO® <br /> software, the Purchase Order may also be processed through an authorized ESRI Distributor/ <br /> Dealer.
