will determine the schedule for and other specifications of such events, programs, and <br /> I workshops. <br /> c. Three representatives to The County's Wellness Program Advisory Committee <br /> from The Hospital, and representation on other advisory committees of the Center and The <br /> County, as determined by the parties. <br /> d. Prominent identification of The Hospital as a sponsor in signage, informational <br /> and promotional materials, and other information disseminated by The County. <br /> e. Enhanced recognition of The Hospital's sponsorship and co-sponsorship <br /> activities in the Senior Times newspaper. <br /> 2. The Hospital will provide the following: <br /> a.Funding to support the salary and benefits of a full-time Wellness Program <br /> Coordinator. The Hospital will reimburse The County for$25,000. Such amount will be <br /> payable in monthly installments within thirty(30) days of The Hospital's receipt of an invoice <br /> from The County. Such reimbursement may be adjusted annually upon the mutual agreement of <br /> the parties. <br /> b. Participation of senior-level Hospital wellness professionals, clinicians, and <br /> executives as representatives on the Wellness Program Advisory Committee. <br /> c. Funding for new programs designed to promote the health and wellness needs <br /> of seniors in the County, as mutually agreed by the parties. <br /> 3. All copyright, service mark, and trademark rights and interest in the logo, systems, <br /> forms, policy manuals, marketing and public relations materials relating to The Hospital, the <br /> current logo, if any, and any subsequent logos purchased or created solely by The Hospital are <br /> the sole property of The Hospital. The County agrees that it will not use such proprietary <br /> information in signage, informational and promotional materials, the Senior Times newspaper, <br /> and other information disseminated by The County without the prior review and approval of The <br /> Hospital. The Hospital's approval will not be unreasonably withheld. <br /> 4. This Agreement will run from the 1st day of July, 2014 through the 30th day of June, <br /> 2015,unless earlier terminated as provided herein. <br /> 5. This Agreement may be terminated at any time without penalty by either party <br /> provided that written notice of such termination is furnished to the.other party at least sixty(60) <br /> days pri or to termination. In the event of such termination, any payment due shall be prorated to <br /> the date of termination. <br /> 6. The Hospital and The County agree that in their educational and/or employment <br /> practices each will comply with such nondiscrimination laws as may be applicable to it in the <br /> performance of this Agreement. <br />
