<br />independent certified public accounting firm and shall be conducted in accordance with Standards <br />for Audit of Governmental Organizations; Programs, Activities and Functions. <br />In addition, the SUBCONTRACTOR may be required to submit a copy of the above described <br />audit t6 the North Carolina State Auditor's Office. <br />The SUBCONTRACTOR'S facilities, or such part thereof as may be engaged in the performance <br />of this Agreement, and any pertinent books, documents, papers and records shall be subject at all <br />reasonable times to inspection and audit by UNC-CH, Comptroller General of the United States, <br />the State of North Carolina or any of their authorized representatives. <br />Financial records, supporting documents and other records pertinent to this agreement shall be <br />retained by the SUBCONTRACTOR for a period ofthree (3) years.from the date of submission of <br />the final expenditure report. Records pertaining to audits, appeals, litigation or settlement of <br />claims arising out of performance of this Agreement shall be retained until such audits, appeals, <br />litigation or claims have been settled. <br />ARTICLE 7. KEY PERSONNEL <br />Malcolm P. Cutchin, Ph.D., shall represent UNC-CH as Principal Investigator and shall be <br />responsible for overall technical matters relating to this Agreement. <br />Vibeke Talley shall represent SUBCONTRACTOR as Principal Investigator and shall not be <br />replaced without the prior written approval of UNC-CH. <br />Frances Hess, or her designee, shall represent UNC-CH as Contract- Administrator and shall be <br />responsible for all matters relating to the interpretation and administration of this Agreement. <br />ARTICLE 8. REPORTS <br />SUBCONTRACTOR shall render technical reports as required by the UNC-CH Principal <br />Investigator. The SUBCONTRACTOR also agrees to provide an annual report of expenditures no <br />later than 45 days after termination of the budget period. <br />ARTICLE 9. SUBCONTRACTING <br />None of the work performed under this Agreement shall be subcontracted without prior written <br />authorization from UNC-CH.
