ATTACHMENT J , <br /> Key Personnel and Subcontracting Clauses <br /> • Key Personnel: The Contractor shall not substitute key personnel assigned to ' <br /> the performance of this contract without prior written approval by the Agency's <br /> Contract Administrator (City or County) and the grantor agency,the North ' <br /> Carolina Department of Commerce,Division of Community Assistance. <br /> Individuals designated as key personnel for purposes of this contract are those <br /> specified in the Contractor's proposal. ' <br /> • Subcontracting: Work proposed to be performed under this contract by the <br /> Contractor or its employees shall not be subcontracted without prior written ' <br /> approval by the Agency's Contract Administrator and the grantor agency,the <br /> North Carolina Department of Commerce,Division of Community Assistance. <br /> Acceptance of an offeror's proposal shall include any subcontractor(s) specified t <br /> therein. <br /> Recipients must show cause,in writing,to invoke one or both of these clauses. ' <br /> Reasons can include,but are not limited to: Serious or terminal illness—including <br /> mental illness, death or disability of contractor,partner or other corporate or key ' <br /> official; bankruptcy; loss of key operating staff; and, military duty. <br /> The request must be signed by authorized agent of the municipality, dated, ' <br /> notarized and accompanied by a legal opinion issued by the jurisdiction's attorney <br /> relative to state and/or local laws. <br /> Unless provided herein, the CONTRACTOR shall not assign,transfer, or ' <br /> subcontract any interest in this agreement.
