49 Section 6.1. OrLranizational Meeting. The initial organizational meeting of Board of Directors will be held within 30 days from the date of the conveyance of the Recreation Space by the Declarant to the Association. Notice to the Directors as provided herein will be necessary in order to legally to constitute such meeting,provided that a quorum will be present. Section 6.2. Regular Meetings. A regular meeting of the Board will be held immediately after and at the same place as the annual meeting or substitute annual meeting of the Association. The Board may provide by adoption of an appropriate resolution for the time and place within the County in which the Property is located, for other regular meetings of the Board. Section 6.3. Special Meetings. Special meetings of the Board may be called by or at the request of the President or by any two Directors. Such meetings may be held at any place within the County in which the Property is located. Section 6A. Notice of Meetings. Regular meetings of the Board of Directors may be held without notice. The person or persons calling a special meeting of the Board will give actual notice, oral or written, to all Directors of the time,place and purpose of such meeting at least two days prior thereto. Section 6.5. Waiver of Notice. Any member of the Board of Directors may give written waiver of notice at any time of any meeting of the Board, and such waiver will be deemed equivalent to the giving of such notice. If all of the members of the Board are present at any meeting thereof, no notice will be required, and any business may be transacted at such meeting. Section 6.6. Quorum. A majority of the number of Directors fixed by these Bylaws will be required for and will constitute a quorum for the transaction of business at any meeting of the Board of Directors. Page 41 of 50
