A,'CL A/C <br /> [Departmental Use Only] <br /> TITLE Nonprofit Fundraising <br /> FY 2013-14 <br /> ORANGE COUNTY <br /> CONTRACT UNDER$15,000.00 <br /> NORTH CAROLINA <br /> THIS AGREEMENT, made and entered into this 14 day of May, 2014, ("Effective Date") by and <br /> between Orange County, North Carolina, a body politic and corporate organized under the laws of the State <br /> of North Carolina, (the "County"), party of the first part; and Gail Perry Associates (the "Provider"), party of <br /> the second part; <br /> WITNESSETH: <br /> For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby <br /> contracts for the services of the Provider, and the Provider agrees to provide the following services to the <br /> County in accordance with the terms of this Agreement,time being of the essence: <br /> The services and/or materials (hereinafter referred to collectively as "Services") to be furnished <br /> under this Agreement are as follows: the Provider will facilitate a 90-minute workshop focused on major <br /> donor trends and creating major gift programs, within an interactive session. The County will make all <br /> arrangements for meeting space and equipment. Costs for these arrangements shall be the sole responsibility <br /> of the County. <br /> Logistical requirements will be discussed between the County and the Provider for optimization and <br /> effectiveness of the session. The Provider will utilize a PowerPoint presentation. The County is requested to <br /> provide a LCD projector and screen, a lavaliere microphone (if amplification is needed), flip charts with <br /> easel. Costs incurred for this equipment is the sole responsibility of the County. The consultant uses a Mac <br /> and will provide a converter for the projector. However, the consultant will also have a backup of the <br /> presentation on a flash drive to be used with a local PC in the event of technical difficulties. <br /> The Provider has permission to post course materials on a password-protected, restricted-access <br /> website solely to grantees of the County and to others within the organization who are unable to participate <br /> in the workshop delivered by the Provider. All materials must include an appropriate citation. <br /> The term of this agreement rendered shall be from Wednesday, June 4, 2014 to Wednesday, June 4, <br /> 2014. <br /> Provider represents and agrees that Provider is qualified to perform and fully capable of performing and <br /> providing the services required or necessary under this Agreement in a fully competent, professional and <br /> timely manner to the satisfaction of the County. Provider shall be responsible for all errors or omissions, in <br /> the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, <br /> ambiguities,mistakes or conflicts at no additional cost to the County. Provider agrees that Provider shall not <br /> sub-contract any of the services to be provided in this Agreement, nor shall Provider assign any right or <br /> responsibility granted or required by this Agreement, without the prior written approval of the County. <br /> SPECIFIC TERMS <br /> 1. Payment: The County agrees to pay at the rates specified for Services satisfactorily <br /> performed in accord with this Agreement. Provider's fee shall not exceed one thousand five hundred dollars <br /> ($1,500.00)for the Services described herein. Seven hundred fifty dollars($750.00)in the form of a deposit <br /> is due upon execution of this Agreement by both parties. The remaining balance of seven hundred fifty <br /> dollars ($750.00) is due and payable upon Provider's completion of the Services. Should County cancel the <br /> workshop contemplated by the Services the deposit shall not be refunded. Upon cancellation should the <br /> workshop contemplated by the Services be rescheduled for a later date within 12 months of the originally <br /> scheduled date any funds previously paid by County to Provider shall be applied to the costs of the <br /> rescheduled workshop.
