56 <br />RECORDING REQUESTED BY <br />AND WHEN RECORDED MAIL TO: ) <br />Sunlight Partners ) <br />4215 East McDowell Road ) <br />Suite 212 ) <br />Mesa, Arizona 85215 ) <br />(Space Above For Recorder's Use) <br />MEMORANDUM OF LEASE <br />==RANDUM OF LEASE (this "Memorandum ") is made and entered into as of <br />% , 201, by and between Sheila N. Bishop, Michael L. Bishop and <br />Annie Virginia Nunn ( "Landlord "), and Sunlight Partners, LLC, a Nevada limited liability <br />company or assigns ( "Tenant "); <br />WITNESSETH: <br />WHEREAS, Landlord and Tenant have entered into that certain Ground Lease dated December <br />13, 2012, (the "Lease "), relating to all or a portion of the "Property" commonly known as <br />County of Orange, A.P.N. 9881388874 and 9881493072. The leased "Premises" are more <br />particularly described in Exhibit "1" attached to this Memorandum and incorporated by this <br />reference; and <br />WHEREAS, Landlord and Tenant desire to enter into this Memorandum to provide notice of <br />Tenant's interest in the Premises. <br />WHEREAS, Landlord and Tenant desire to enter into this Memorandum for the purpose of <br />providing record notice of the Lease and certain of the terms and conditions thereof. <br />NOW, THEREFORE, for and in consideration of the payments and covenants to be paid and <br />performed by Tenant under the terms of the Lease, the receipt and sufficiency of which are <br />hereby acknowledged, the parties hereto do hereby covenant and agree as follows: <br />1. TERM, The "Approval Period" of the Lease shall commence on January 1, 2013, and <br />expires on December 31, 2014.
