The rights and obligations of the parties to this Agreement <br /> shall be binding upon and inure to the benefit of their respective successors and permitted <br /> assigns. <br /> 21. ENTIRE AGREEMENT. This Agreement constitutes the entire agreement <br /> between the parties hereto with respect to the subject matter hereof, and supersedes all prior and <br /> contemporaneous oral statements or agreements between the parties with respect to the subject <br /> matter hereof. <br /> 22. GOVERNING LAW. This Agreement, including, without limitation, all issues as <br /> to capacity, interpretation, construction, and performance hereof, shall be governed and <br /> construed in accordance with the laws of the State of North Carolina. <br /> 23. SURVIVAL. The following Sections of this Agreement which by their nature <br /> should survive the expiration or termination of this Agreement shall survive the expiration or <br /> termination of this Agreement. <br /> 24. COUNTERPARTS. This Agreement may be executed in multiple counterparts, <br /> each of which shall be deemed an original, but all of which together shall constitute one and the <br /> same instrument. <br /> 25. E-Verify. Pursuant to the terms of North Carolina General Statute 153A-449(b) <br /> no county may enter into a contract with a contractor unless the contractor and the contractor's <br /> subcontractors comply with the requirements of Article 2 of Chapter 64 of the North Carolina <br /> General Statutes. Where applicable, failure to maintain compliance with the requirements of <br /> Article 2 of Chapter 64 of the General Statutes constitutes NC HIE's breach of this Agreement. <br /> By executing this Agreement NC HIE affirms they are in compliance with Article 2 of Chapter <br /> 64 of the North Carolina General Statutes. <br /> [Signature page follows] <br /> 7 <br />
