JOINDER AGREEMENT <br /> THIS JOINDER AGREEMENT ("Joinder"), made as of , 20_, by and <br /> between NORTH CAROLINA HEALTH INFORMATION EXCHANGE, a North Carolina nonprofit <br /> corporation ("NC HIE") and the undersigned party (hereinafter, "New Participant"), makes New <br /> Participant a party to that certain Amended and Restated North Carolina Health Information Exchange <br /> Participation Agreement dated July 1, 2013, as amended through the date hereof, (the "Participation <br /> Agreement"). <br /> RECITALS: <br /> A. The New Participant desires to become a participant in the HIE Network. <br /> B. New Participant's application to participate in the HIE Network has been accepted, with <br /> the condition precedent that the New Participant executes this Joinder. <br /> NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which <br /> is hereby acknowledged,the parties agree as follows: <br /> I. JOINDER. The New Participant is hereby made a party to the Participation Agreement, a <br /> copy of which is attached hereto as Attachment A and incorporated herein by reference, and agrees to be <br /> bound by, and shall comply with, the terms thereof. From the date hereof,the New Participant shall be a <br /> "Participant"as that term is defined in the Participation Agreement and shall be subject to all of the duties <br /> and obligations and entitled to all of the rights and benefits of a"Participant"as provided therein. <br /> 2. ACKNOWLEDGEMENT. The New Participant hereby acknowledges that it has <br /> received a copy of and read the Participation Agreement in its entirety. <br /> 3. PARTICIPATING ENTITIES. If this Agreement is joined by a Participant as an <br /> Affiliate with the authority to do so, the individual entities shall be listed on Attachment B of this <br /> Agreement ("Participation Entities") and each party so listed shall be individually entitled to the rights <br /> and subject to the obligations set for in the Participation Agreement. <br /> 4. REAFFIRMATION. The terms and provisions of the Participation Agreement remain in <br /> full force and effect in all respects. <br /> 5.
