t <br /> 3.1.2 As soon as practical after the date of this Agreement, Consultant shall submit for <br /> the Owner's approval a schedule for the performance of the Consultant's service. The schedule <br /> initially shall include a detailed work breakdown structure and anticipated time periods for each <br /> phase of work. The schedule shall include allowances for periods of time required for the <br /> Owner's review and for approval of submissions by authorities having jurisdiction over the <br /> Project. Once approved by the Owner, time limits established by the schedule shall not, except <br /> for reasonable cause, be exceeded by Consultant or Owner. With the Owner's approval, the <br /> Consultant shall adjust the schedule, if necessary, as the Project proceeds. <br /> ARTICLE 4 DURATION OF SERVICES <br /> 4.1 Scheduling of Services <br /> 4.1.1 The Consultant shall schedule and perform his activities in a timely manner so as <br /> to meet the schedule referenced in Article 3. <br /> 4.1.2 Should the County determine that the Consultant is behind schedule, it may require <br /> the Consultant to expedite and accelerate his efforts, including providing additional resources <br /> and working overtime, as necessary, to perform his services in accordance with the approved <br /> project schedule at no additional cost to the County. <br /> 4.1.3 The Commencement Date for the Consultant's Basic Services shall be January 6, <br /> 2014. <br /> ARTICLE 5 COMPENSATION <br /> 5.1 Compensation for Basic Services <br /> 5.1.1 Compensation for Basic Services shall include all compensation due the <br /> Consultant from the County for all services under this Agreement except for any authorized <br /> Reimbursable Expenses which are defined herein. The maximum amount payable for Basic <br /> Services is Thirty Two Thousand Eight Hundred Dollars ($32,800). Payment for Basic Services <br /> shall become due and payable in direct proportion to satisfactory services performed and work <br /> accomplished. <br /> 5.1.2 If the Owner does not intend to make payment to the Consultant by the due date, or <br /> is not able to do so, the Owner will provide written notification of such to the Consultant. Such <br /> written notification shall occur at least two days prior to the payment due date. The written <br /> notification shall also clearly state the reasons for the payment not being made on time. <br /> ARTICLE 6 RESPONSIBILITIES OF THE COUNTY <br /> 6.1 Cooperation and Coordination <br /> 6.1.1 The County has designated Jeff Thompson to act as the County's representative <br /> with respect to the Project and shall have the authority to render decisions within guidelines <br /> established by the County Manager and the County Board of Commissioners and shall be <br /> Revised 9/13 <br /> 3 <br />
