3 <br /> 7 <br /> ORANGE COUNTY <br /> ORANGE PUBLIC TRANSPORTATION <br /> TAXI PROVIDER AGREEMENT <br /> This Agreement is entered into this first day of July, 1996 by and between the County of <br /> Orange on behalf of the Department on Aging's Orange Public Transportation service, <br /> hereinafter referred to as"Orange County" and XXX, hereinafter referred to as"X". <br /> SPECIFIC RESPONSIBILITIES OF ORANGE COUNTY <br /> 1. To assign professional staff within Orange County to administer and coordinate <br /> transportation. <br /> 2. To relay necessary client and trip information via a telephone call and confirm with a <br /> daily manifest form. <br /> 3. To pay bill within thirty(30) days of receipt of invoice. <br /> SPECIFIC RESPONSIBILITIES OF X <br /> 1. To provide demand/response transportation to approved participants at a rate not to <br /> exceed $1.3 5 per mile as agreed upon by X and Orange County. <br /> 2. To meet all service provision standards for the O.P.T. programs such as required by <br /> the State of North Carolina, and provide documentation upon request. <br /> 3. To ensure that such records as necessary are kept to fully disclose the extent of the <br /> service, i.e. mileage, time, client and distance, and are available for inspection. <br /> 4. To submit a monthly bill for services indicating distance and cost by the client, <br /> rendered payable within thirty(30)days from date of receipt. <br /> 5. To adhere to Orange County's O.P.T. procedures in the provision of the service. <br /> 6. To indemnify and save harmless Orange County, its agents and employees from and <br /> against any and all loss, cost, damages, expense and liability caused by the failure of X <br /> to fully perform its obligations under this Agreement and in accordance with its terms; <br /> or by accident or other occurrence causing bodily injury, including death, sickness, <br /> products or services rendered under this Agreement. <br /> Certificates of insurance reflecting such coverage must be furnished to Orange County <br /> and shall contain the provision that Orange County will be given thirty(30) days <br /> written notice of any intent to amend or terminate such policies. <br /> The term of this contract shall be from July 1, 1996 through June 30, 1997 unless sooner <br /> terminated by either party giving thirty days prior written notice to the other of intention <br /> to terminate. This Agreement may be extended for an additional year if mutually agreed <br /> to by both parties. <br /> Pagel of 2 <br />
