,qrn s <br /> J <br /> STATE OF NORTH CAROLINA <br /> ORANGE COUNTY <br /> FIRST AMENDMENT TO <br /> CONTRACT UNDER$10,000.00 <br /> This First Amendment To Contract Under $10,000.00 is entered into this the 15,' day of <br /> September, 2013 by and between Orange County, North Carolina, a body politic and corporate <br /> organized under the laws of the state of North Carolina, (the "County"), Ferrell Firm, P.C., (the <br /> "Provider") and Kennon Craver, PLLC(the"New Provider"). <br /> WITNESSETH: <br /> WHEREAS, County and Provider entered into an agreement titled "Contract Under <br /> $10,000.00" dated Mayl7, 2013 (the "Contract"), which such Contract is incorporated herein by <br /> reference; and <br /> WHEREAS, the Parties desire to amend certain terms of the Contract as specifically <br /> agreed to herein below; and <br /> WHEREAS, Provider desires to assign its interest in and to the Contract to New Provider, <br /> New Provider desires to accept such assignment and County consents to such assignment. <br /> NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of <br /> which is hereby acknowledged,the parties hereto agree as follows: <br /> 1) The term of the Contract is extended from June 30,2013 to December 1, 2013, <br /> 2) The Services to be furnished under the Contract shall be amended to include <br /> preparation of standard NC Bar Form purchase and sale agreements for properties <br /> owned by Mr. & Mrs. Woods and Gene McCauley respectively as well as closing <br /> services related to the County's purchase of the same. <br /> 3) The County shall pay all expenses associated with the purchase (including a pro rata <br /> share of 2013 ad valorem taxes, recording fees, title insurance premiums, survey <br /> costs, etc.,) as well as all legal fees due under this Agreement via wire transfer at <br /> closing unless sooner paid. <br /> 4) Provider hereby assigns the Contract to New Provider. New Provider hereby accepts <br /> assignment of the Contract. County hereby consents to the assignment of the <br /> Contract from Provider to New Provider. <br /> 5) The amount to be paid by the County to Provider under the Contract was not to <br /> exceed $3,500.00 (see County Purchase Order 1302125-00). County has paid <br /> Provider the total amount of $1,515.00 under the Contract to date.
