13 .3 Severability. In the event any portion of this Contract <br /> shall be determined to be invalid under any applicable law, such <br /> provision shall be deemed void and the remainder of this Contract <br /> shall continue in full force and effect. <br /> 13 .4 Governing Law. All section headings contained herein <br /> are for convenience of reference only and are not intended to <br /> define or limit the scope of any provision of this Contract. <br /> 13 . 7 Entire Agreement. This Contract, together with the <br /> schedules hereto, constitutes the entire agreement between the <br /> parties and this Contract shall not be modified, amended, altered <br /> or changed except by written agreement signed by the parties. <br /> 13 . 8 Binding Effect. Subject to the specific provisions of <br /> this Contract, this Contract shall be binding upon and inure to the <br /> benefit of the parties and their respective successors and assigns. <br /> 13 .9 Time. Time is of the essence of this Contract and each <br /> and all of its provisions. <br /> 13 .10 Execution in Counterparts.
