If participants are unable to attend a scheduled meeting, then <br /> the Customer project manager becomes the final authority on all items of discussion. <br /> • For engagement activities that need to occur at Customer work locations, Customer will make <br /> reasonable facilities accommodations available to the Varrow project team at these location(s). <br /> These accommodations will include a desk/cubicle, voice telephone, Internet access, and shared <br /> access to laser printer, copier, and conference room facilities. <br /> • Customer will provide access to computer systems as required for Varrow project team to perform <br /> tasks as outlined in this SOW. <br /> • As appropriate, Customer will provide a suitable environment for training (overhead projector and <br /> conference facilities). <br /> • Customer is responsible for, and assumes any risk associated with, any problems resulting from <br /> the content, completeness, accuracy and consistency of any data, materials and information <br /> supplied by Customer. <br /> • Customer must ensure reasonable availability of qualified customer representative(s) when <br /> requesting a support incident. <br /> • Customer must ensure reasonable response to provide requested information and perform <br /> required tasks as necessary in order to advance this project to completion. <br /> • Customer must keep the Provider informed of organizational change control requirements and to <br /> reasonably schedule downtime windows in order to advance a service request toward resolution. <br /> • Customer will use reasonable efforts to assist Varrow and its representatives to gain access to <br /> physical locations and to properly authenticate to various systems as necessary to complete the <br /> tasks of this project. <br /> • Customer is responsible for the proper maintenance and physical readiness of the installation site. <br /> The following lists the minimum requirements for site readiness: <br /> • Site must have adequate conditioned power and cooling for the kinds and types of <br /> equipment that are installed. <br /> • All software and licenses are up to date and properly procured as necessary. <br /> • All hardware and software components which are not part of this agreement are properly <br /> configured and are production ready. <br /> • All permissions are properly set so that Varrow representatives have access to the objects, <br /> devices and systems that are necessary to effectively perform the project tasks. <br /> • Customer is responsible for ensuring that a proper backup of all data is performed prior to work <br /> commencing. Varrow is not responsible for any data loss. <br /> T ` .Cbi letiow maid Terriunation Criteria <br /> This SOW will be considered complete when the tasks and deliverables described in this SOW have been <br /> completed and accepted by the Customer. The Customer shall be solely responsible for determining <br /> whether Provider as satisfactorily completed the tasks and deliverables. Customer may not unreasonably <br /> withhold acceptance. <br /> Customer must provide written acceptance (including online acceptance) to Varrow of the services and <br /> deliverables. <br /> This Agreement may be terminated without cause by the Customer and for its convenience upon seven <br /> (7) days prior written notice to the Provider. The Provider may terminate this Agreement based upon the <br /> Customer's material breach of this Agreement; provided, the Customer has not taken all reasonable <br /> actions to remedy the breach. The Provider shall give the Customer seven (7)days' prior written notice of <br /> its intent to terminate this Agreement for cause. <br /> In the event of termination, the Provider shall be paid that portion of the fees and expenses that it has <br /> earned to the date of termination, less any costs or expenses incurred or anticipated to be incurred by the <br /> Orange County- IT Department <br /> Citrix Services Statement of Work: Revision C / , W 5 September 10,0 <br /> Varrow Quote Reference: AAAQ16794 V r tW'1 <br />
