61 <br /> EXHIBIT C <br /> DOCUMENTS AND INSTRUMENTS FOR TRANSFER <br /> (a) General warranty deed for the transfer of Carrboro's and Chapel Hill's real <br /> property interests in Existing System Assets; <br /> (b) Titles to vehicles that are subject to State titling laws,properly endorsed for <br /> transfer, <br /> (c) Bills of Sale to convey all ownership rights in all other personal property <br /> constituting any portion of Existing System Assets; <br /> (d) An Assignment and Assumption Agreement,transferring to the County all rights. <br /> under existing contracts that constitute any portion of the Existing System Assets; <br /> (e) All instruments necessary and appropriate to transfer to the County all permits, <br /> licenses and other governmental authorizations now being utilized in connection with the <br /> operation of the System; <br /> (fl A detailed listing of the assets being transferred; and <br /> (g) Such other documents and instruments as any Party may reasonably request. <br />
