60 <br /> EXHIBIT B <br /> RULES OF CONSTRUCTION <br /> For all purposes of this Agreement,unless the context clearly requires otherwise, <br /> (a) an accounting term not otherwise defined has the meaning assigned to it in <br /> accordance with generally accepted accounting principles; <br /> (b) references to Articles and Sections are to the Articles and Sections of this <br /> Agreement; <br /> (c) words importing the singular shall include the plural and vice versa; <br /> (d) the headings in this Agreement are solely for convenience of reference;the <br /> headings shall not constitute a part of this Agreement,nor shall they affect its meanings, <br /> construction or effect; <br /> (e) all references to any Party shall be deemed to include any successor to the <br /> general functions,powers and properties of such Party; and <br /> (f) any references to approvals or other actions by any Party shall be deemed <br /> to be references to actions taken by the Party's Governing Board or taken pursuant to express, <br /> specific direction given by the Party's Governing Board. <br />
